Acceptance of Terms
By engaging with First and Last Marketing ("FALM," "we," or "us") for services, you agree to these Terms. We treat these terms as a mutual handshake to ensure clarity and protection for both parties. These terms apply to all custom development, consulting, and automation services.
Scope of Services
FALM provides bespoke digital infrastructure solutions. Specific deliverables are defined in your Statement of Work (SOW):
Secure, high-performance web architecture using Next.js & React.
Implementation of LLM agents, RAG pipelines, and automated CRM workflows.
Implementation of Core Web Vitals standards and E-E-A-T architecture.
Client Responsibilities
To ensure project velocity and success, you agree to:
- 1Provide timely feedback (within 3 business days) to prevent development stalls.
- 2Guarantee legal ownership of all text, images, and data provided to us for integration.
- 3Adhere to the payment schedule defined in the SOW. Work pauses if invoices are 15 days overdue.
Intellectual Property (IP)
Client Ownership
Upon full payment, you own the specific deliverables: the visual design, your content, and the compiled frontend application code tailored to your brand.
FALM Background Technology
FALM retains all rights to our underlying "Digital Growth Engine" architecture, utility libraries, and pre-existing code blocks. You are granted a perpetual, royalty-free, non-exclusive license to use this technology for the operation of your specific project.
Warranties & AI Liability
We warrant that services will be performed professionally in accordance with industry standards.
Third-Party Dependencies: We cannot guarantee the perpetual uptime or pricing of third-party APIs (e.g. OpenAI, Google Maps, Twilio) utilized in your project.
AI Output: For projects involving Generative AI, FALM is not liable for the accuracy, originality, or legality of content generated by the AI models during runtime.
